Terms of Service

Please read these Terms carefully before purchasing or using any Holon Technology product. By completing a purchase or activating a license, you agree to be bound by these Terms.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Holon Technology ("Holon," "we," "us," or "our") governing your access to and use of all Holon software products, Canvas LTI tools, and related services (collectively, the "Services").

If you are accepting these Terms on behalf of an institution or organization, you represent that you have the authority to bind that entity to these Terms.

2. License Grant

Subject to your compliance with these Terms and payment of applicable fees, Holon grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the subscription period for your internal educational or institutional purposes.

3. License Types and Restrictions

Individual / Trial Licenses

Individual and trial licenses are limited to a single instructor account. Individual licenses are subject to course caps as described on the product page (typically 10 courses). Trial licenses are time-limited and may have reduced functionality.

Institutional Licenses

Institutional licenses cover all eligible users within a single Canvas instance (identified by a unique Canvas domain). Institutional licenses may not be shared across multiple Canvas instances or institutions without a separate agreement.

4. Payment and Billing

All fees are due at the time of purchase. Prices are listed in U.S. dollars and are exclusive of any applicable taxes unless stated otherwise. Holon uses Stripe to process payments; by providing payment information you agree to Stripe's terms of service.

License keys are delivered to the email address provided at checkout. Holon is not responsible for delivery failures caused by incorrect email addresses or spam filters.

All sales are final. Refunds are issued at Holon's sole discretion and only in cases of material defect or non-delivery. To request a refund, contact [email protected] within 14 days of purchase.

5. Canvas API Tokens

Certain Holon tools require you to provide a Canvas API token to function. By providing a Canvas API token, you represent that you are authorized to grant the requested level of access. Holon stores tokens in an encrypted format and uses them solely to perform the actions you authorize within the tool. We do not share Canvas API tokens with third parties.

Holon reserves the right to suspend or terminate access immediately and without notice for material violations of this section.

7. Student Data and FERPA

To the extent Holon processes student education records on behalf of an educational institution, Holon acts as a "school official" with a legitimate educational interest as permitted under FERPA (20 U.S.C. ยง 1232g). Holon will not disclose student education records to third parties except as required to provide the Services or as required by law. We collect and retain the minimum student data necessary for the Services to function and purge identifiable session data within 90 days.

8. Intellectual Property

All intellectual property rights in the Services โ€” including software, design, trademarks, and documentation โ€” remain the exclusive property of Holon Technology. Nothing in these Terms transfers any ownership interest to you. Feedback or suggestions you provide may be used by Holon without restriction or compensation.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HOLON DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Holon is an independent software vendor and is not affiliated with, endorsed by, or a partner of Instructure, Inc. (Canvas). Canvas is a trademark of Instructure, Inc.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOLON BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF HOLON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HOLON'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HOLON IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Holon and its officers, directors, employees, and agents from any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your use of the Services in a manner not authorized herein.

12. Modifications to the Services and Terms

Holon reserves the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice of material changes where practicable. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms. We will update the "Last updated" date above when changes are made.

13. Term and Termination

These Terms are effective from the date you first accept them and continue until your license expires or is terminated. Holon may terminate your license immediately for material breach of these Terms. Upon termination, your right to access and use the Services ceases. Sections 8 through 15 survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arkansas, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
